FOUNDATIONS AND DEVELOPMENT OF THE CODE OF CONDUCT OF AMR MANNESMANN GMBH

The vision, mission statement, principles of action, compliance guidelines, and a series of other documents of AMR Mannesmann GmbH form the basis for sustainable corporate governance. AMR Mannesmann GmbH actively embraces and implements its responsibilities towards the environment, its employees, and society.

The Code of Conduct is derived from these existing instruments of AMR Mannesmann GmbH. All these documents, including this Code of Conduct, are accessible to all employees across the entire company through the AMR Mannesmann GmbH organizational system.

SCOPE AND APPLICATION OF THE CODE OF CONDUCT

The Code of Conduct supplements and specifies the corporate ethics of AMR Mannesmann GmbH, making them actionable for daily operations within the company. Additionally, the Code of Conduct documents the rules and values of collaboration that are an integral part of company culture and are taken for granted by many. Through our actions based on the Code of Conduct, we showcase our mission statement and operational principles to clients, suppliers, and regulatory authorities. Thus, the Code of Conduct serves as more than just an internal document; it is AMR Mannesmann GmbH's "values business card" externally.

 

The Code of Conduct of AMR Mannesmann GmbH applies to branches in Austria and abroad. Furthermore, we require compliance with these principles from external partners such as subcontractors and suppliers when they act in the name of or on behalf of AMR Mannesmann GmbH.

 

The Code of Conduct covers four areas:

AMR Mannesmann GmbH acts prudently and sustainably.

 

AMR Mannesmann GmbH puts its principles and responsibilities into practice.

 

AMR Mannesmann GmbH acts in accordance with the law and in a responsible manner.

 

The applicable laws, regulations, guidelines and standards of the countries in which AMR Mannesmann GmbH operates are observed in all business activities and decisions. AMR Mannesmann GmbH does not use unlawful or dishonest means to obtain information, business, public contracts or information about the business secrets of its employees. Offering and accepting benefits such as gifts is prohibited if this is intended to achieve a certain action or could create such an impression. AMR Mannesmann GmbH is characterized by quality and reliability in its relationships with business partners. The highest quality of service is always our top priority.

 

Law-abiding conduct at AMR Mannesmann GmbH means:

We ensure that all employees of AMR Mannesmann GmbH are adequately informed about the relevant laws, regulations, guidelines, and standards of the countries in which the company operates. This also includes making information about the legal frameworks of these countries available. Our actions must not only comply with the legal standards in all countries but also align with our mission statement and operational principles.

 

The implementation of our mission statement and operational principles is especially important to us when adherence to these principles appears challenging.

 

Compliance with laws means, among other things, rejecting illegal employment practices such as all forms of forced labor or child labor.

 

Fair working conditions are of the highest priority, even for workers provided by subcontractors or personnel leasing agencies. In cases of labor law violations, such as underpayment, or breaches of equal treatment and non-discrimination, AMR Mannesmann GmbH will cease further cooperation.

 

We implement our anti-corruption policies in our daily work. We reject any form of personal enrichment and will only accept invitations and offered gifts within the allowed limits.

 

We are deeply committed to maintaining fair competition. We do not engage in any agreements or arrangements that restrict competition. Behavior that leads to the restriction of free competition and violations of antitrust and competition laws is not compatible with our mission statement and operational principles. Apart from jeopardizing our good reputation, such prohibited agreements can result in substantial fines and disqualification from tendering for contracts.

 

Our employees are prohibited from entering into price-fixing, bid-rigging, or market and customer allocation agreements, exchanging confidential business information (e.g., prices, price components, pricing methods, general terms and conditions, bidding behavior, tender procedures, etc.), or submitting cover or sham bids.

 

If there is uncertainty in a situation about whether a behavior complies with anti-corruption guidelines and other internal or legal standards, or if it is difficult to assess the situation alone, the respective supervisors and the legal department should be informed.

 

Responsible conduct means for AMR Mannesmann GmbH that we live up to our reputation as a fair and reliable partner at eye level. This includes for all of us:

Discretion and the confidential handling of data and information in accordance with the GDPR are a given for us.

 

We generally avoid any actions that could potentially damage the reputation of AMR Mannesmann GmbH in public. We ensure a moderate approach to alcohol consumption at business dinners or company events.

We adhere to our principle of treating everyone fairly in our daily work. In cases of bullying or harassment, all employees have access to occupational psychological services to develop a strategy to address the situation outside their own department.

A lived culture of diversity also means that we consider all religions and cultures during festive occasions, celebrations, and general meal offerings.

 

Our corporate language is German. However, due to the internationalization of AMR Mannesmann GmbH, many more languages are spoken within the company. We aim to reduce language barriers, improve communication between the different parts of AMR Mannesmann GmbH, embrace new languages, and strive to offer more multilingual services.

 

Wherever AMR Mannesmann GmbH operates, we show appreciation for the culture and customs of the respective country. We respect religious holidays and incorporate them into the planning of our activities. Legal standards, particularly in the areas of occupational safety, health, and environmental protection, are the foundation and are strictly adhered to. Furthermore, AMR Mannesmann GmbH is committed to targeted Corporate Social Responsibility (CSR) measures. In doing so, it aligns itself with the expectations and needs of its stakeholders. Our stakeholders include, in addition to employees and customers, shareholders, suppliers, subcontractors, other business partners, and society at large (including neighbors, authorities, legislators, research institutions, media, and the public).

When outsourcing work to third parties is necessary, we choose regional partners and preferably companies that are also committed to CSR. The transfer of partial services by already commissioned subcontractors requires our explicit approval.

 

We care about more than just the well-being of our own employees. If colleagues from another company are not properly equipped or if there are other safety concerns, we inform the relevant authorities (supervisors, etc.). Compliance with labor and safety standards by commissioned subcontractors is continuously monitored on-site by our leadership personnel.

 

AMR Mannesmann GmbH concretely implements its principles and responsibilities.

 

The provisions of this Code of Conduct are an integral part of the corporate culture of AMR Mannesmann GmbH.

 

Employees align their behavior with these principles and are aware that non-compliance can have serious consequences for both AMR Mannesmann GmbH and themselves. We all share responsibility for implementing these rules in our daily business by taking the following steps:

 

If we notice actions that do not align with our values or have questions about the Code of Conduct, we inform our immediate supervisor. Employees who cannot or do not want to approach their supervisors can contact the management directly.

 

Managers should communicate and exemplify the central importance of the Code of Conduct within their areas of responsibility. They should also inform employees about who to contact for questions regarding the Code of Conduct or to report violations. Reports are treated with strict confidentiality unless legal reasons require otherwise. Under no circumstances will the reporting individual face any disadvantages because of such a report.

 

Through our management and organizational system, we ensure that only reliable personnel service providers, verified by our in-house legal department, are employed. This relieves the responsible on-site managers from the organizational responsibility of researching the reliability of personnel agencies and subcontractors themselves. However, this does not absolve the leadership personnel of their on-site supervisory responsibilities, such as ensuring compliance with labor and safety standards.

 

When selecting and employing subcontractors, we follow a company policy that is equally rigorous and committed to fairness. The transfer of (partial) services by already commissioned subcontractors to other companies may only take place within the contractually and legally stipulated framework and requires the approval of the management of AMR Mannesmann GmbH.

 

For improper implementation of agreements or non-compliance with the principles of our Code of Conduct by external partners, we expressly reserve the right to terminate further cooperation. In individual cases, contractual penalties may also be stipulated.

 

To ensure compliance with the fundamental principles of this Code of Conduct, any inquiries and reports related to compliance at AMR Mannesmann GmbH can be reported to the management.
